These conditions shall apply to:

Any variation of these Conditions (including any distinct terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by Generate trading as Easy Health and the client.

You agree that by accessing the Site and/or by confirming the Services, you have read, understood, and agree to be bound by all of these Terms and Conditions.

The Site is intended for user/ members who are 18 years old and over. If you are under the age of 18, you need parental permission to register for the Site or use the Services.

If you purchase digital services from the www.easyhealth.org.uk, our terms and conditions will apply.

Acceptable Use

Do not access or use the Site for any other purpose than that for which it was created, and our services made available. Do not use the Site in connection with any commercial undertaking other than those that we endorse or approve.

As a user/ member of this Site, you agree not to:

Use, launch, or engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, scrapers, offline readers, or similar data gathering and extraction tools;

Copy or adapt the Site’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code;
Ridicule, mock, disparage, intimidate, abuse, tarnish, or otherwise harm, in our opinion, us, the Site, users/ members, or anyone;
Violate any applicable laws or regulations;
Include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap;
Threaten user/ members with negative feedback or offering services solely to give positive feedback to user/ members;
Misrepresent experience, skills, or information about a user/ member;
Advertise products or services not intended by us;
Falsely imply a relationship with us or another company with whom you do not have a relationship;
Violate, or link to material that violates, any provision of these Terms of Use, or any applicable law or regulation.

Information you provide to us

You represent and warrant that: (a) all information you submit will be true, accurate, current, and complete and relate to you and not a third party; (b) you will maintain the accuracy of such information and promptly update such information as necessary; (c) you will keep your password confidential and will be responsible for all use of your password and account; (d) you have the legal capacity and you agree to comply with these Terms and Conditions; and (e) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Site.

If you know or suspect that anyone other than you know your user/ member information (such as an identification code or user/ member name) and/or password, you must promptly notify us at contact us.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account. We may remove or change a user/ member name you select if we determine that such user/ member name is inappropriate.

Content you provide to us

Members can post content to the Site or send feedback to us (user/ member content). You understand and agree that any user/ member Content may be viewed by other users/ members on the Site, and that they may be able to see who has posted that user/ member Content.

We are not responsible and accept no liability for any user/ member Content including content that contains incorrect information or is defamatory, or for the loss of user/ member Content.

We accept no obligation to screen, edit or monitor any user/ member Content but we reserve the right to remove, screen and/or edit any user/ member Content without notice and at any time, especially if the user/ member Content has not been verified or approved by us and the views expressed by other user/ members on the Site do not represent our views or values.

In posting user/ member Content, including reviews, or contacting other users/ members of the Site you understand that you will be responsible for any loss or damage we suffer as a result of the content you post.

We have the right to remove any user/ member Content you put on the Site.

Except as expressly provided in these Terms and Conditions and for documents that are not the property of Generate trading as Easy Health, no part of the Site, Services or Our Content may be sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Provided that you are eligible to use the Site, you are granted a limited licence to access and use the Site and Our Content and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use.

You shall not (a) try to gain unauthorised access to the Site, or any networks, servers or computer systems connected to the Site; and/or (b) make for any purpose including error correction, any modifications, adaptions, additions or enhancements to the Site or Our Content, including the modification of the paper or digital copies you may have downloaded.

We shall (a) prepare the Site and Our Content with reasonable skill and care; and (b) use industry standard virus detection software to try to block the uploading of content to the Site that contains viruses.

Although we make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied, that Our Content on the Site is accurate, complete, or up to date.

Site Management

We reserve the right to (1) monitor the Site for breaches of these Terms and Conditions; (2) take appropriate legal action against anyone in breach of applicable laws or these Terms and Conditions; (3) refuse, restrict access to or availability of, or disable (to the extent technologically feasible) any of your Contributions; (4) remove from the Site or otherwise disable all files and content that are excessive in size or are in any way a burden to our systems; and (5) otherwise manage the Site in a manner designed to protect our rights and property, and to facilitate the proper functioning of the Site and Services.

You are responsible for configuring your information technology, computer programs and platform to access the Site and you should use your own virus protection software.

We do not guarantee that the Site will be secure or free from bugs or viruses.

Modifications to and availability of the Site

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice at any time.

We cannot guarantee the Site and Services will be always available.

We may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site or Services during any downtime or discontinuance of the Site or Services.

We are not obliged to maintain and support the Site or Services or to supply any corrections, updates, or releases.

There may be information on the Site that contains errors, inaccuracies, or omissions that may relate to the Services and the Content. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information and documents at any time, without prior notice.

Disclaimer/Limitation of Liability

The Site and Services are provided on an as-is and as-available basis.

You agree that your use of the Site and/or Services will be at your sole risk except as expressly set out in these Terms and Conditions. All warranties, terms, conditions, and undertakings, express or implied (including by statute, custom or usage, a course of dealing, or common law) in connection with the Site and Services and your use thereof including, without limitation, the implied warranties of satisfactory quality, fitness for a particular purpose and non-infringement are excluded to the fullest extent permitted by applicable law.

We make no warranties or representations about the accuracy or completeness of the Site’s content and are not liable for any (1) errors or omissions in content; (2) any unauthorized access to or use of our servers and/or any and all personal information and/or financial information stored on our server; (3) any interruption or cessation of transmission to or from the site or services; and/or (4) any bugs, viruses, trojan horses, or the like which may be transmitted to or through the site by any third party. We will not be liable for any delay or failure to comply with our obligations under these Terms and Conditions if such delay or failure is caused by an event beyond our reasonable control.

Our responsibility for loss or damage suffered by you:

Whether you are a consumer or a business user/ member:

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents, or subcontractors and for fraud or fraudulent misrepresentation.

If we fail to comply with these Terms and Conditions, we will be responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms and Conditions, but we would not be responsible for any loss or damage that were not foreseeable at the time you started using the Site/Services.

Notwithstanding anything to the contrary contained in the Disclaimer/Limitation of Liability section, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to a total aggregate amount equal to the greater of (a) the sum of £120% of the price or (b) the amount paid, if any, by you to us for the Services/Site during the six (6) month period prior to any cause of action arising.

If you are a business user/ member:

We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

use of, or inability to use, our Site/Services; or
use of or reliance on any content displayed on our Site.
in particular, we will not be liable for:
loss of profits, sales, business, or revenue;
business interruption;
loss of anticipated savings;
loss of business opportunity, goodwill, or reputation; or
any indirect or consequential loss or damage.

Term and Termination

These Terms and Conditions shall remain in full force and effect while you use the Site or Services or are otherwise a user/ member of the Site, as applicable. You may terminate your use or participation at any time, for any reason, by following the instructions for terminating user/ member accounts in your account settings, if available, or by contacting us.

Without limiting any other provision of these Terms and Conditions, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Site and the Services (including blocking certain IP addresses), to any person for any reason including without limitation for breach of any representation, warranty or covenant contained in these Terms and Conditions or of any applicable law or regulation.

If we determine, in our sole discretion, that your use of the Site/Services is in breach of these Terms and Conditions or of any applicable law or regulation, we may terminate your use or participation in the Site and the Services or delete your profile and any content or information that you posted at any time, without warning, in our sole discretion.

If we terminate or suspend your account for any reason set out in this Section (Term & Termination), you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

The Services

All orders of Services shall be considered as an offer by the Client to purchase Services in accordance with the whole of these Terms and Conditions.

Acceptance of delivery of Services shall be seen as unquestionable evidence of the Clients’ acceptance of these Terms and Conditions.

You agree that by accessing the Services, you have read, understood, and agree to be bound by all of these Terms and Conditions.

Trainings

This applies to all trainings: in person, online courses & webinars

Registrations cannot be transferred to another course; however, re-scheduling may be made up to 10 working days before the course, if agreed in writing by Generate trading as Easy Health and the Client.

Access to the course and all the materials is on a single client basis. If you share content with any other individuals or organisations, they will be liable for the full fee.

Full joining instructions, including programme timings and special instructions will be sent prior to the course.

Generate trading as Easy Health will not be held liable for any transport or accommodation, room booking or hospitality costs in the unlikely event of a course being cancelled.

Participants who do not access the live webinar will be emailed a recording of the webinar or sent the slides if no recording is possible after the webinar. Trainings and Webinars are for use by the Client only and login details should not be shared.

Content of trainings designed and delivered by Generate trading as Easy Health remains the copyright of Generate and cannot be resold without the written permission of Generate.

Generate trading as Easy Health reserves the right to use these designs for promotional material and for tenders for new work.

Development stages remain the property of Generate trading as Easy Health.

Easy Read Translation

Generate trading as Easy Health will provide the client easy read translation services.

Content of easy read documents designed and delivered by the Client remains the copyright and ownership of the Client.

Generate trading as Easy Health is not liable for the content of the Easy Read documents we translate for the Client.

With materials created by the Client, it is the responsibility of the Client to ensure that the Client has the appropriate production rights for any text, image or other elements that are supplied into the design, and that they are, where appropriate, suitably credited.

All work created by Generate trading as Easy Health remains our copyright and cannot be resold without the written permission of Generate/ Easy Health. Neither can it be re-used without giving full credits to Generate and Easy Health.

Generate trading as Easy Health reserves the right to use aspects of these materials for promotional material and for tenders for new work.

Photography and video

On occasions, Generate trading as Easy Health takes photographs, videos and audio recordings which may be used to help promote our conferences and courses (both online and in print).

By booking into a course/event you are confirming that you are aware of this and have no objections to your image or voice appearing in any material issued by Generate/ Easy Health after the meeting.

However, if for any reason you do not wish Generate/ Easy Health to use your image or voice, please let us know in writing at: contact us.

Recording and photography by trainees is not permitted courses or events, unless agreed by Generate trading as Easy Health prior/ at the start of the training.

Consultancy

Generate trading as Easy Health will provide the client consultation services.

Generate trading as Easy Health reserves the right to use aspects of these materials for promotional material and for tenders for new work.

Our content

Except as expressly provided in these Terms and Conditions and for documents that are not the property of Generate trading as Easy Health, no part of Our Content may be sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Invoicing

Payments will be taken by invoices.

Invoices must be paid within 45 days starting of the date issued.

All sums due from the Client which are not paid on the due date will incur a £25 administration fee, plus monthly interest of 5%. Any invoices unpaid after 45 days of the invoice date will forfeit the contract.

If you are unable to meet the payment terms, please contact us.

Whilst every effort is made to ensure that costing estimates are accurate, Generate trading as Easy Health reserves the right to amend the current price should an error, omission or variation be made.

Cancellation

All cancellations must be received in writing (email is acceptable).

Trainings and consultation

Cancellation received up to1 calendar month before the agreed due date will be subject to an administration fee of 50% of the full invoice fee.

Cancellation received within 1 calendar month of the first scheduled training session will be charged 75% of the full invoice fee.

Cancellations made within 3 working days of the event will be charged the full invoice fee.

These fees would cover cost incurred during preparation of trainings and resources (materials, staff times, cancellation of any external contracts if applicable).

If the Client requests to reschedule the trainings or receiving of resources – this should be requested in writing via email. It will be decided on a case-by-case basis depending on amount of notice, size on contract and reason for rescheduling and should be agreed in writing prior to any amendments taking place. Additional costs may incur.

Easy Read Translation

Cancellation received up to 15 days before the agreed due date will not be charged.

Cancellation received between 7 to 14 working days before the agreed due date will be subject to an administration fee of 50% of the full invoice fee.

Cancellations made within 7 working days of the agreed due date will be charged the full invoice fee.

These fees would cover cost incurred by translation work during these times (staff times, software, cancellation of any external contracts if applicable).

If the Client requests to change documents or deadlines – this should be requested in writing via email. It will be decided on a case-by-case basis depending on amount of notice, size of the work and reason for rescheduling and should be agreed in writing prior to any amendments taking place.

Additional costs may incur.

Video Production

Cancellation received within 75 working days before the agreed due date will be subject to an administration fee of 50% of the full invoice fee.

Cancellation received within 30 working days of the first scheduled training session will be charged 75% of the full invoice fee.

Cancellations made within 15 working days of the event will be charged the full invoice fee.

These fees would cover cost incurred during pre-production, filming and editing (location of premises, staff wages, expenses incurred by actors, software and equipment costs).

If the Client requests to reschedule the work or change deadlines – this should be requested in writing via email. It will be decided on a case-by-case basis depending on amount of notice, size on contract and reason for rescheduling and should be agreed in writing prior to any amendments taking place. Additional costs may incur.

Client Changes

Amendments, adjustments and additions to the designs that are requested by the Client above and beyond those agreed on commencement of the Contract or agreed as inclusive to the work undertaken, shall need to be agreed in writing by both parties before taking place.

Additional costs may incur. The amount shall be agreed in writing by both parties before the start of any additional work.

Exceptional circumstances Please note, due to circumstances beyond Generate/ Easy Health’s control, speakers, venue, content, and timings may vary.

Generate/ Easy Health reserves the right to cancel or re-schedule the event if necessary. In the case of cancellation by Generate trading as Easy Health a full refund of course fees will be made.

In the event of a re-schedule course fees will be transferred to the new date. The new date will be agreed by Generate trading as Easy Health and the client. We will offer three alternative dates if cancelled - therefore a refund will not be offered.

Refund

If you access the training content in any way your right to a full refund is waived. Bookings are not transferable. Generate trading as Easy Health regrets that registrations cannot be transferred to another course.

Please note, due to circumstances beyond Generate trading as Easy Health’s control, speakers’ content and timings may vary. Generate trading as Easy Health reserves the right to cancel the event if necessary and issue a full refund of course fees.

General

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing.

You hereby agree to the use of electronic signatures, contracts, orders, and other records and to electronic delivery of notices, policies and records of transactions initiated or completed by us or via the Site. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by other than electronic means.

These Terms and Conditions and any policies or operating rules posted by us on the Site or in respect to the Services constitute the entire agreement and understanding between you and Generate trading as Easy Health .

Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not operate as a waiver of such right or provision.

We may assign any or all our rights and obligations to others at any time.

We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.

If any provision or part of a provision of these Terms and Conditions is unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and Conditions and does not affect the validity and enforceability of any remaining provisions.

There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Terms and Conditions or use of the Site or Services.

For business user/ member only - If you are a business user/ member, these Terms and Conditions, their subject matter, and their formation (and any non-contractual disputes or claims) are governed by English Law. We both agree to the exclusive authority of the courts of England and Wales.

In the event of any breach of these Conditions by Generate trading as Easy Health, the remedies of the Client shall be limited to damages and under no circumstances shall the liability of Generate trading as Easy Health exceed the Price of Goods and/or Services supplied.

You are not permitted to use any of the Site Content &/ or Services without our approval, unless they are part of material our Site explicitly states you are permitted to use.

A person who is not a party to these Terms and Conditions shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms and Conditions.
